secondary market procedures
While Pohutukawa shares will not be quoted on a registered stock exchange, Craigs Investment Partners facilitates a secondary market for willing buyers/sellers of Pohutukawa I and Pohutukawa II shares.
Guidelines for buying/selling Pohutukawa shares are:
· To initiate a share transaction contact your usual investment advisor. Discuss with your investment advisor whether a private equity investment and the risk involved is appropriate for you. Alternatively you may contact Craigs Investment Partners directly – see contact details below.
· Brokerage will be applicable for share transactions.
· The Pohutukawa I security code with Craigs Investment Partners is PPE
· The Pohutukawa II security code with Craigs Investment Partners is PPE2PP
· The last sale price and current best bid and offer prices will be listed on the Pohutukawa website, www.pohutukawafund.co.nz; or prices can be obtained by phoning or e-mailing Craigs Investment Partners.
· To sell Pohutukawa you must:
o Provide your advisor/broker with your shareholder number. (CSN/FIN not applicable for non-FASTER)
o Complete and sign a NZ Securities Transfer Form (seller only to sign)
· To buy Pohutukawa contact your investment advisor and advise the number of Pohutukawa shares you seek and your bid price.
o Buyers who are not already shareholders in Pohutukawa will need to request and read the Pohutukawa Prospectus and Investment Statement. A copy of the Prospectus can be obtained by e-mailing enquiries@pohutukawafund.co.nz, or by phoning the Manager on 07-5774 727.
· A contract note will be sent to the buyer/seller for successful bids/offers with normal settlement terms applying, i.e. payment for purchases is to be made within 3 days of purchase.
· Craigs Investment Partners will complete registration of the transaction with the Registrar and the purchaser will receive confirmation within a week of settlement.
